(Digital Downloads)

These Terms of Service (“Terms”) govern your purchase and use of digital downloads (“Digital Products”) sold under the brand XQY Designs, operated by Balligi Enterprises, LLC (“BALLIGI,” “we,” “us,” “our”). Balligi Enterprises, LLC is the legal contracting party. By purchasing, downloading, or using any Digital Product, you agree to these Terms.

1) Acceptance of Terms

By placing an order, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not purchase or use the Digital Products.

2) Digital Products and Delivery

  • All products are digital files only; no physical items are shipped.

  • After purchase, you will receive an email containing a download link or instructions to access your files.

  • Download access is available for 24 hours from the time of purchase. You are responsible for downloading and saving your files within this time frame.

  • If you do not receive the email, check spam/junk folders and verify the email address used at checkout.

3) License and Permitted Use (Personal Use Only)

Your purchase grants you a non-exclusive, non-transferable, revocable license to use the Digital Product for personal use only.

You may:

  • Download and display the artwork on your personal devices, including Samsung The Frame / Frame TV.

  • Make personal-use prints for your own home (if the listing indicates the file is suitable for printing).

You may not (no commercial use):

  • Use the files for any commercial purpose (including selling prints, merchandise, templates, bundles, or “done-for-you” designs).

  • Resell, redistribute, share, gift, transfer, sub-license, or make the files available to others (including uploading to cloud drives, file-sharing sites, marketplaces, or social groups).

  • Claim the artwork as your own, remove copyright notices, or create derivative products intended for redistribution or resale.

  • Use the files in NFTs, training data, AI datasets, or automated generation systems unless you have written permission from BALLIGI.

4) Intellectual Property

All Digital Products and related content are owned by BALLIGI and/or its licensors and are protected by intellectual property laws. No ownership rights transfer to you.

5) Pricing, Taxes, and Payment

Prices are shown at checkout and may change at any time before purchase. Taxes may apply depending on your location. Payments are processed through payment providers supported by Squarespace.

6) Refunds, Returns, and Cancellations (Digital Products)

Because Digital Products are delivered electronically and cannot be returned, all sales are final. We do not offer returns, exchanges, or cancellations once an order is placed and the download link is delivered.

Refunds will not be issued for:

  • Change of mind or accidental purchases

  • Failure to download within the 24-hour access window

  • Device/software incompatibility, user error, or lack of familiarity with downloads/transfers

  • Samsung, app, or device configuration issues outside our control

Limited Exception – Extreme Technical Difficulties:
If you experience verified technical issues that prevent access to your files (for example, a broken link or confirmed delivery failure), contact us within the 24-hour download window. We will make reasonable efforts to resolve the issue (such as issuing a new link or alternative delivery). Refunds may be considered only if we cannot deliver the purchased files after documented troubleshooting.

7) Customer Responsibilities

You are responsible for:

  • Entering a valid email address at checkout

  • Downloading and backing up your files within the access window

  • Ensuring your device/software supports the file format provided (e.g., JPG/JPEG/PNG)

  • Following any third-party setup steps for Samsung The Frame or related apps/services (which may change and are not controlled by Balligi)

8) Disclaimers

Digital Products are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted access to downloads or compatibility with every device, app, or display environment.

9) Limitation of Liability

To the maximum extent permitted by law, BALLIGI will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill arising from your purchase or use of Digital Products. Our total liability for any claim will not exceed the amount you paid for the specific Digital Product giving rise to the claim.

10) Indemnification

You agree to indemnify and hold harmless BALLIGI from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of Digital Products or violation of these Terms.

11) Termination

If you violate these Terms, your license to use the Digital Products terminates immediately without notice. Upon termination, you must stop using the files and delete all copies in your possession or control.

12) Changes to These Terms

We may update these Terms periodically. The “Last Updated” date reflects the most recent revision. Continued use of Digital Products after changes constitutes acceptance of the updated Terms.

13) Governing Law

These Terms are governed by the laws of the State of Washington (WA), without regard to conflict-of-law principles.
